Terms of Service

For the purposes of these Terms of Service, the following definitions apply:

• ·'Platform': The Courtzap management software accessible through courtzap.com and its subdomains.

• ·'User': Any person who accesses or uses the Platform, whether as a club, player, or administrator.

• ·'Club': Sports entity using Courtzap to manage its facilities and members.

• ·'Player': Individual user who uses the PWA app to participate in matches and tournaments.

• ·'Content': Any information, data, text, images, or materials uploaded to the Platform.

• ·'Subscription': Payment plan contracted by the Club to access services.

By accessing or using the Courtzap Platform, you confirm that you have read, understood, and agree to be legally bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our services.

We reserve the right to modify these terms at any time. Modifications will take effect immediately upon posting. Your continued use of the Platform after any changes constitutes your acceptance of the new terms.

Courtzap provides a SaaS platform that includes:

• ·Admin Dashboard: Tools for padel and tennis clubs including booking management, access control, billing, school management, tournament organisation, and data analytics.

• ·PWA App: Progressive web application for players that allows creating and joining matches, managing bookings, viewing rankings, and making payments.

• ·Payment System: Integration with payment gateways to manage transactions between clubs and players.

• ·Support: Technical assistance during business hours (9:00 AM - 6:00 PM CET, Monday through Friday).

We do not guarantee that the service will be available uninterrupted. We perform scheduled maintenance and there may be occasional interruptions.

Club Accounts:

To use Courtzap as a club, you must register by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Player Accounts:

Players can register directly through the club's PWA or by invitation. You must be over 16 years old or have parental consent to create an account.

We reserve the right to suspend or terminate accounts that:

• ·Provide false or misleading information.

• ·Violate these Terms of Service.

• ·Are used for fraudulent or illegal activities.

• ·Maintain outstanding payments after notification.

Subscription Plans:

Courtzap offers different subscription plans with different levels of functionality. Prices and features of each plan are available on our pricing page.

Billing:

• ·Payments are processed monthly or annually according to the selected plan.

• ·We accept credit/debit cards and other payment methods specified in the platform.

• ·Subscriptions automatically renew until cancellation.

• ·All invoices are issued in compliance with applicable UK and EU tax regulations.

Cancellation:

You may cancel your subscription at any time from the admin dashboard. Cancellation will be effective at the end of the current billing period. No refunds are provided for partial periods.

Plan Changes:

You may upgrade or downgrade your plan at any time. Upgrades to a higher plan will be effective immediately. Downgrades to a lower plan will be effective at the start of the next billing period.

By using Courtzap, you agree to:

• ·Use the service only for lawful and legitimate purposes.

• ·Not interfere with the normal operation of the platform.

• ·Not attempt to gain unauthorised access to other users' systems or data.

• ·Not distribute malware, viruses, or harmful code.

• ·Not engage in activities that could damage Courtzap's reputation.

• ·Not use the platform for harassment, discrimination, or abusive behaviour.

Specific prohibitions:

• ·Reselling, sublicensing, or redistributing access to Courtzap without express authorisation is strictly prohibited.

• ·You may not use scraping, crawling, or automated data mining techniques.

• ·Circumventing implemented security measures is not permitted.

Courtzap Rights:

All intellectual property rights related to Courtzap, including but not limited to software, designs, logos, trademarks, text, and graphics, are the exclusive property of ADN GROWTH LLC or its licensors.

License to use:

Subject to these terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform during the active subscription period.

User Content:

You retain all rights to content you upload to the platform. By uploading content, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, and distribute such content solely to operate and improve our services.

The processing of personal data is carried out in accordance with our Privacy Notice and applicable legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

As the data controller for your players' data, you are responsible for:

• ·Obtaining necessary consent for data processing.

• ·Informing players about the use of their personal data.

• ·Fulfilling requests to exercise rights (access, rectification, erasure).

Courtzap acts as a data processor for personal data it processes on behalf of clubs, in accordance with the Data Processing Agreement (DPA) available upon request.

To the maximum extent permitted by applicable law:

• ·Courtzap will not be liable for indirect, incidental, special, consequential, or punitive damages.

• ·Our total liability for any claim related to the service will not exceed the amount paid by you in the 12 months preceding the claim.

• ·We do not guarantee that the service will be uninterrupted, timely, secure, or error-free.

• ·We are not responsible for the actions or content of third parties available through the platform.

Force majeure:

We will not be liable for failures caused by circumstances beyond our reasonable control, including natural disasters, wars, terrorism, riots, embargoes, acts of governmental authorities, or telecommunications service failures.

You agree to indemnify, defend, and hold harmless ADN GROWTH LLC, its directors, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable solicitors' fees) arising from:

• ·Your use of the Platform.

• ·Your violation of these Terms of Service.

• ·Your violation of any third-party rights.

• ·Any content you upload or transmit through the service.

By user:

You may close your account at any time from your profile settings or by contacting support.

By Courtzap:

We may suspend or terminate your access immediately if you:

• ·Violate any of these terms.

• ·Engage in fraudulent or illegal use of the platform.

• ·Fail to make corresponding payments.

• ·Your conduct damages Courtzap's reputation or operation.

Effects of termination:

After cancellation, you will lose access to your account and all associated content. Data will be retained as established in our Privacy Policy and applicable legal requirements.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without giving effect to any choice of law principles.

Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the courts of Sheridan, Wyoming, United States. However, if you are a consumer in the UK or European Union, you may also claim before the courts of your habitual residence.

Before initiating any legal proceedings, the parties commit to attempt to resolve the dispute through good faith negotiation for a period of 30 days.

Severability:

If any provision of these terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall continue in full force.

Waiver:

Our failure to exercise a right or provision will not constitute a waiver of such right or provision.

Assignment:

You may not assign or transfer these terms without our prior written consent. We may assign these terms freely.

Relationship between parties:

Nothing in these terms creates an agency, partnership, joint venture, or employment relationship between the parties.
